1. Who this agreement is with

Taktoria is operated by Taktoria LLC, a Delaware limited liability company ('we', 'us'). By creating a workspace or using one you have been invited to, you agree to these terms.

Where a workspace is created on behalf of an organisation, the person creating it confirms they may accept these terms for that organisation, and 'you' means that organisation.

2. Accounts and workspaces

An account belongs to a person and is identified by an email address. A workspace belongs to an organisation and holds its data. A person may belong to several workspaces, and a workspace may have several members.

Workspace owners and admins can invite and remove members, assign seats, and change workspace settings. Removing somebody from a workspace ends their access to it but does not delete their account or the content they created there.

You are responsible for what happens under your account, including keeping credentials to yourself. Two-factor authentication is available and we recommend turning it on.

3. Apps and seats

Each app is subscribed to separately, and each subscription is billed on the seats assigned to it. A member needs both a workspace membership and a seat to open an app.

Apps are added, changed and occasionally retired. If we retire an app, we will give at least 90 days notice and will not charge for it beyond that date.

4. Trials and payment

Trials run for the period shown when the trial starts and end without a charge unless a payment method has been added. Subscriptions renew monthly until cancelled.

Payments are taken by Stripe. We do not see or store card numbers; Stripe does. Prices are shown exclusive of any tax that applies where you are.

Cancelling stops the next renewal. It does not refund the current period, and access continues until that period ends.

5. Your content

Everything you put into a workspace stays yours. We claim no ownership of it, and we use it only to run the service for you: to display it to the people you have shared it with, to back it up, and to keep the service working.

You are responsible for having the right to put that content into the service, and for what it contains.

6. Acceptable use

You agree not to use Taktoria to:

• •break the law, or help somebody else break it
• •store or send material you have no right to
• •attack the service or the infrastructure it runs on, including attempts to read another workspace's data
• •resell access, or use the service to build a directly competing product

7. Availability

We work to keep Taktoria available and will publish incidents on the status page, but the service is provided without an uptime guarantee unless a separate written agreement says otherwise.

Maintenance that we expect to interrupt the service will be announced in advance where it is practical to do so.

8. Suspension

We may suspend a workspace or an account where payment has failed, where use breaches these terms, or where continued use would put the service or other customers at risk. Where the reason allows it, we will say what is wrong and give you a chance to put it right first.

9. Ending the agreement

You may stop using Taktoria at any time by cancelling your subscriptions and deleting your workspace. We may end this agreement on 90 days notice, or immediately where a suspension ground applies and cannot be resolved.

After a workspace is deleted, its data is removed from live systems immediately and from backups within 30 days. Export what you need before deleting it.

10. Liability

Nothing here limits liability that cannot be limited by law. Subject to that, neither party is liable for indirect or consequential loss, and our total liability in any twelve-month period is limited to the fees you paid in that period.

The service is provided as it is. We make no warranty that it will meet a particular requirement or be free of defects.

11. Changes to these terms

We may change these terms. Where a change materially reduces your rights, we will give at least 90 days notice by email to workspace admins before it takes effect. Continuing to use the service after that date accepts the change.

12. Governing law

These terms are governed by the laws of the State of Delaware, without regard to its conflict-of-law rules. The state and federal courts located in the State of Delaware have exclusive jurisdiction over any dispute arising from them.
